Terms and Conditions – January 2024

1. Definitions

1.1 In these terms and conditions and within the YELLOWBRICK system, the following definitions apply:

1.2 “User”: the party, either a natural person or legal entity, who, under a contract with the Provider, pays parking fees recorded in the YELLOWBRICK system using their smartphone in combination with the YELLOWBRICK system.

1.3 “Provider”: the party, entity, or organization offering the YELLOWBRICK service under a private label to its customers.

1.4 “YELLOWBRICK”: the party that, through its services, records certain User data and parking time and collects parking taxes or fees on behalf of local authorities.

1.5 “YELLOWBRICK System”: the IT and communication equipment used by YELLOWBRICK, as well as the associated software and the YELLOWBRICK website.

1.6 “Service”: the “YELLOWBRICK” service as offered by YELLOWBRICK, for which a contract has been concluded between YELLOWBRICK and the User.

1.7 “Network”: the mobile network to which the User is connected.

1.8 “Parking Fee”: the fee payable for on-street parking; in this context, the payable amount serves as a parking tax or fee.

1.9 “YELLOWBRICK Vehicle Number”: the vehicle identification number assigned by YELLOWBRICK.

1.10 “Personal data”: any data that can directly or indirectly refer to a natural person, in accordance with Article 4(1) of the General Data Protection Regulation, 2016/679.

2. Scope of application

2.1 These general terms and conditions apply to the YELLOWBRICK system and its use. These terms can be consulted on the website www.yellowbrick.be.

2.2 YELLOWBRICK reserves the right to make changes to these terms as published on the website.

2.3 The possible invalidity or annulment of any provision of these terms does not in any way affect the other provisions. The annulled provision shall be maintained as much as possible in accordance with the purpose and scope of the invalid or annulled clause.

2.4 The User is not permitted to transfer the rights and/or obligations arising from the YELLOWBRICK services and these general terms and conditions to third parties without prior written consent from YELLOWBRICK.

3. The YELLOWBRICK system

3.1 The User can start and stop parking transactions via the internet or their smartphone using the YELLOWBRICK system, based on the rate of the parking zone connected to YELLOWBRICK. The applicable rate is calculated based on the period between the start of the parking session recorded in the YELLOWBRICK system and its recorded end.

4 User Registration

4.1 Registration with YELLOWBRICK takes place through the procedure defined by YELLOWBRICK.

4.2.1 The User is responsible for providing correct information such as name, date of birth, address, place of residence, business details, license plate number, mobile phone number, credit card or bank account number (registered in Belgium), and email address.

4.2.2 YELLOWBRICK primarily communicates with its clients by email. Invoices, reminders, and formal notices are only sent via email, not by post.

4.3 Changes to the unique data initially provided by the User must be made in a timely manner by the User through their personal page.

4.4.1 The information processed by YELLOWBRICK for management purposes is used for: a. the execution of our services
b. the more efficient organization of business processes
c. the prevention, detection, and control of fraud or irregularities
d. compliance with legal obligations

4.4.2 YELLOWBRICK only provides data to third parties in the following cases: a. The rights and obligations arising from this Agreement may be transferred in whole or in part to a third party. YELLOWBRICK ensures that the third party can fulfill the obligations arising from the Agreement.
b. As part of a risk analysis

4.4.3 If you have selected a credit card as your payment method, your card details are not stored in YELLOWBRICK’s database for security reasons. They are transmitted to and stored by the party that handles credit card payments on our behalf.

4.5 A User’s registration becomes valid once it has been accepted by the Provider and/or YELLOWBRICK. The User will receive a confirmation email upon acceptance.

4.6 The User must carefully store and keep confidential the data required to use the “Personal Page” service on the website, such as their client number, password, etc. YELLOWBRICK accepts no responsibility in case of loss and/or misuse of this information.

4.7 When the service is delivered via a Provider, YELLOWBRICK may impose specific subscription and/or usage conditions on the User during registration. These conditions are communicated via the website of the respective provider where the initial registration also took place.

4.8 The client authorizes us to use their trademarks, such as their name and logo, on our website or more generally as a reference in our promotional activities.

5. The contract with the User

5.1 YELLOWBRICK offers its Users the option to pay either through a variable fee (transaction-based fee) or a weekly subscription (per week and per parking eligibility).

The User pays a one-off fee to check his method of payment at the start of the service: 0.02 euro for the registration of a debit card, and 1 euro for a credit card.

5.2 The rates accepted by the User during registration may be adjusted monthly after prior notice is posted on the website. YELLOWBRICK will inform the User in advance. If the User does not accept the change, they have the right to notify YELLOWBRICK in writing within 10 working days and thereby immediately terminate the use of the Service.

5.2.1 At the end of the contract between YELLOWBRICK and the Provider, YELLOWBRICK will inform the clients. Clients may continue using the agreed-upon plan for up to 1 year after the contract ends, except for annual price adjustments.

5.3.1 The contract ends if the User deletes his/her account on the application or notifies YELLOWBRICK in writing of their decision to terminate the agreement. The notice period for the cancellation of an Unlimited subscription is one week, and starts on the Monday following the termination. Cancellation of a Basic account takes effect on the following day at the latest. Unsubscribing must be done on the Yellowbrick application as described on this page: Registration and login. It can also be notified to Customer Services by email at info@yellowbrick.be.

5.3.2 The client also has the right to cancel the contract with Yellowbrick with immediate effect within 14 days of the contract being concluded. The request must be sent by email to info@yellowbrick.be or submitted via the cancellation form.

5.4 The YELLOWBRICK system can only be used with an accepted registration. A registration is considered accepted when the User has agreed to these terms and fulfilled all other obligations.

5.5 If the User wishes to register with YELLOWBRICK, they must grant YELLOWBRICK permanent authorization to automatically collect parking fees, subscription fees, and other charges. Authorization is granted by entering the required payment information and accepting the general terms during the registration process.

5.6 Any action intended to evade, reduce, or negatively impact the obligations under these terms is prohibited. Acts that violate these terms give YELLOWBRICK valid grounds to terminate or dissolve the contract, while retaining the right to seek compensation from the User for any resulting damages.

5.7 YELLOWBRICK is entitled to suspend the fulfillment of its obligations until all outstanding claims against the User are settled.

5.8 The User is not allowed to use the access to the YELLOWBRICK system provided by YELLOWBRICK for any purpose other than its intended use, nor to rent, sublease, or transfer its use to third parties. If misuse is detected, YELLOWBRICK reserves the right to exclude the User from any further use of the system.

5.9 YELLOWBRICK has the right to terminate the contract in writing with immediate effect if the User fails to meet the obligations set out in these general terms. YELLOWBRICK also reserves the right to cancel or refuse services to the User for valid reasons.

5.10 If an account is not used for a period of 6 months, the right to any additional discounts becomes void.

 6. Terms of Use for the YELLOWBRICK System

6.1 The YELLOWBRICK system may only be used in and by municipalities and/or other participating authorities, organizations, and/or companies. Participating municipalities, organizations, and companies can be identified by signage in visible locations within parking zones. Users will find important information about using the system on the website (www.yellowbrick.be).

6.2 The User pays a transaction fee (start and end of parking) on each parking session. This fee is a fixed amount per transaction. No transaction fees apply if the User has a subscription. The various YELLOWBRICK service fees are listed on the website. If YELLOWBRICK is offered through a Provider, the rates can be found on the Provider’s website.

6.3 The User is fully responsible for the correct use and proper functioning of the smartphone used to access the YELLOWBRICK system. The User is also responsible for correctly entering the parking zone, as indicated on signage and parking meters, and for the correct use of geolocation.

6.4 The User cannot derive any right to a parking space from the YELLOWBRICK services. Instructions provided to the User by YELLOWBRICK via mobile phone, SMS, internet, municipal enforcement officers, or other means must be followed.

6.5 By reporting the end of the parking session in the YELLOWBRICK system, via smartphone or internet, the chargeable parking time comes to an end.

6.6 If it is not possible to report the end of a parking session to the YELLOWBRICK system due to a network failure, the User may do so via another communication channel by calling 02 210 20 25 or using the “Internet Parking” function on the personal page “My YELLOWBRICK.”

6.7 In all cases where a contract with the User ends, these general terms and conditions will continue to govern the relationship between the parties as needed to settle the agreement.

6.8 YELLOWBRICK, one of its Providers, and/or any persons engaged to assist may temporarily disable all or part of one or more connections or other technical infrastructures that are part of the Services, for the purpose of maintenance, improvement, repair, or service. YELLOWBRICK or one of its Providers will inform the User in advance of such work when the situation allows.

6.9 YELLOWBRICK does not guarantee uninterrupted service. If, for any reason, the YELLOWBRICK system cannot be used, parking fees must be paid by another method (e.g., meter ticket/cash payment).

6.10 The User should only assume that the start or end of a parking session has been registered after receiving confirmation. Any fine issued between the time the User parks their vehicle or leaves the parking space and the moment the start or end of the session is registered via smartphone or internet is the User’s responsibility. The User is responsible for ending a parking session.

6.11 In the event of a malfunction in the YELLOWBRICK systems, the User must contact YELLOWBRICK via Customer Service (02 210 20 25) or by email at info@yellowbrick.be.

7. Payment

7.1 The parking fee, based on the parking duration recorded in the YELLOWBRICK system, is collected monthly in the manner specified by YELLOWBRICK – both for private and professional users.

7.1.1 If a customer fails to meet their financial obligations, YELLOWBRICK reserves the right at any time to change the billing frequency from monthly to weekly.

7.2 The parking times recorded in the YELLOWBRICK system are binding for the amounts charged to the User. YELLOWBRICK will periodically collect parking amounts via the credit card authorized by the User.

7.3 A valid record of parking time and fees is displayed on your smartphone and on your personal page on the YELLOWBRICK website.

7.4 In the event of theft or loss of the mobile phone, the User must immediately notify YELLOWBRICK Customer Service and/or info@yellowbrick.be and end the parking session by calling 02 210 20 25. The loss or theft does not entitle the User to a refund of parking fees owed.

7.5 If the User fails to manually end a parking session, it will automatically end at the closing time of the relevant parking zone for that day.

7.6 If the parking zone has a time limit, the session will automatically end at the maximum allowed duration.

7.7 If the User has chosen credit card payment and the payment fails, they must re-enter their credit card information via the personal page. For security reasons, the payment processor acting on behalf of YELLOWBRICK is not allowed to reuse the card information if a payment attempt fails.

7.9 In the event of a suspected error in the calculation of fees by YELLOWBRICK, the User must contact YELLOWBRICK after first checking their billing statement on the website.

7.10 If, during a payment dispute between the User and YELLOWBRICK, the User instructs their bank to reverse the charge within the allowed period, the YELLOWBRICK system will become inaccessible to the User. A payment dispute does not cancel or suspend the obligation to pay.

7.11 YELLOWBRICK may periodically adjust the subscription fee or other charges listed in this contract. YELLOWBRICK will inform the User in advance. If the User does not accept the adjustment, they have the right to notify YELLOWBRICK in writing within 10 working days and thereby immediately terminate the use of the Service.

7.12 These Terms are subject to applicable laws and regulations, as well as local municipal policy.

7.13 The municipal parking regulations apply to all Users of the YELLOWBRICK system who park on public roads within the relevant municipality.

7.14 Parking rates may be changed by modifications to the municipal parking regulations. The Provider and YELLOWBRICK are not responsible for the pricing policy or enforcement by the relevant municipality. Further information is available at www.yellowbrick.be.

7.15 The User can print a statement of their parking transactions, including amounts and VAT, via their personal page. Invoicing is done exclusively by email.

7.16 Payments related to transactions will be debited automatically using the payment method previously selected by the User, including SEPA direct debit and credit card.

If the invoice cannot be debited using the User’s default payment method, a first (free) reminder will be sent requesting payment within 7 days.

If this deadline passes, Yellowbrick will send a second free reminder, again requesting payment within 7 days.

In case of non-payment after these periods, the debt will be increased by:

a flat-rate compensation, determined in accordance with Article XIX.4. 2° of the Code of Economic Law, as follows:

a) €20 if the outstanding amount is €150 or less
b) €30 plus 10% of the amount due between €150.01 and €500, if the outstanding amount is between €150.01 and €500
c) €65 plus 5% of the amount due over €500, with a maximum of €2,000 if the outstanding amount is over €500

and late payment interest at the legal rate set by Article 5, paragraph 2, of the Law of August 2, 2002, concerning the fight against late payment in commercial transactions. Interest is calculated on the outstanding balance, starting from the calendar day following the date the reminder is sent to the consumer, in accordance with Article XIX.4. 1° of the Code of Economic Law.

8. Data Processing and Privacy

8.1 In order to provide Services to the Client, Yellowbrick processes the Client’s personal information. This is done in the context of the agreement and for its execution, to provide better (online) service, to comply with legal obligations where applicable, and also for marketing purposes (subject to consent), to streamline Yellowbrick’s internal processes, or to prevent fraud (e.g., when a client attempts to register again after Yellowbrick terminated a previous agreement due to a breach of terms and conditions).

8.2 Yellowbrick processes personal data appropriately and in accordance with the provisions of the applicable Data Protection Law.

8.3 Yellowbrick takes the necessary technical and organizational measures to protect personal data against loss or any other form of unlawful processing, taking into account the state of technology and the nature of the processing.

8.4 The personal data provided by the Client to Yellowbrick will be processed only within the scope of Yellowbrick’s business operations and to fulfill the Agreement with the Client.

8.5 In all cases where Yellowbrick shares a Client’s personal data, the Provider will also process the Client’s personal data. In such cases, the Provider will inform the Client about how their data is processed. The Client must check the Provider’s website for information regarding the processing of personal data.

9. Liability

9.1 The Provider and YELLOWBRICK are not liable for business losses and/or indirect and/or consequential damages—whether arising from the contract or an unlawful act—resulting from the failure or malfunction of the YELLOWBRICK system, nor from any breach (in execution) of the services or these terms and conditions.

9.2 The Provider and YELLOWBRICK cannot be held liable for any indirect or consequential damage resulting from the use of the YELLOWBRICK system. The User understands and acknowledges that the ability to signal their arrival or departure to YELLOWBRICK/in the system, or to receive messages related to the parking session, depends on the functioning of the (telephone) networks to which the User’s phone and the YELLOWBRICK system are connected, and on the service provided by the User’s mobile operator.

9.3 YELLOWBRICK and/or the Provider are only liable for direct damages (including parking fines) if the damage results from a failure in YELLOWBRICK’s systems and if the User has followed the prescribed check-in and check-out procedures provided by YELLOWBRICK. Compensation is limited to a maximum of €50 per event, with a maximum of €100 per year, and a series of related events is considered a single event.

9.4 The right to compensation expires if the claim is not made within one year of the event that caused the damage.

9.5 The Provider and YELLOWBRICK are not liable for direct, indirect, and/or consequential damages resulting from inadequate functioning of the User’s mobile network, other networks, force majeure, acts or omissions of one or more engaged third parties, or incorrect use of the YELLOWBRICK system by the User.

9.6 The User is liable for both material and non-material damages incurred directly or indirectly by the Provider and/or YELLOWBRICK due to an act or negligence that violates these terms, valid instructions issued under these terms, the law, or prior judicial or arbitral decisions between the parties. This includes any unlawful act committed by the User for which the Provider and/or YELLOWBRICK is held liable.

9.7 YELLOWBRICK is not liable for damages arising from enforcement methods used by municipalities affiliated with YELLOWBRICK. If a municipality requires additional actions from the User to enable inspection of the service, YELLOWBRICK accepts no liability if the User fails to comply correctly with the prescribed process or commits any errors.

9.8 The disclaimer of liability mentioned in this article also applies to third parties engaged by YELLOWBRICK, but does not apply to damages resulting from intentional acts or gross negligence by YELLOWBRICK or its senior staff.

9.9 By using this Service, you agree to be bound by any changes. Therefore, you should regularly review the general terms and conditions on www.yellowbrick.be to determine which version applies to you.

10. Applicable Law and Dispute Resolution

10.1 The general terms and conditions for the User are governed by Belgian law. Any disputes relating to these terms and conditions shall be submitted to the competent court in Brussels.
